Our client, a medium-size downtown firm, is seeking a full-time Corporate Paralegal to join their team. This firm places special emphasis on providing a congenial, friendly environment with a focus on teamwork while providing excellent client service and it’s a nice place to work!
Responsibilities:
- Preparing corporate documentation for BC and Federal entities, including incorporations, amendments, reorganizations, continuations, amalgamations, dissolutions, restorations and name changes
- Drafting corporate legal documentation for filing and registration of BC societies, extra-provincial registrations, limited partnerships and business names
- Managing annual maintenance of all of the firm’s BC corporations, federal corporations, extra-provincial registrations and societies; attending to filing of annual reports; changes of directors and officers and other routine registry filings; maintaining the Annual Maintenance Bring Forward System
- Conducting records book reviews; identifying deficiencies and fixing deficiencies as required
- Preparing documentation relating to tax driven transactions
- Assisting in preparation of closing agendas and documentation of complex corporate transactions, including due diligence and closing documents, alterations to share structure and articles; share transfers and subscriptions; redemptions
- Drafting various types of dividend transactions;
- Other administrative support as required
Key Qualifications:
- 3-5 years of experience working as a Corporate Paralegal
- Paralegal certification
Key Skills:
- Excellent verbal and written communication skills with ability to communicate clearly using discretion, tact and courtesy
- Proficiency with computers including MS Word, Excel and other relevant programs
- Excellent document drafting skills
- Highly organized with excellent attention to detail
- Client service orientation
- Ability to handle a high volume of work in a fast paced environment
- Ability to work independently and in a team environment
- Experience in a legal environment strongly preferred
