Hiring an Experienced Securities Paralegal to Work in Downtown Vancouver Law Firm

Our client is an international firm with a large office in Vancouver that offers the culture and comradery of a smaller office together with the resources and opportunities of a large firm.  They are looking to hire an experienced (10+ years) Securities Paralegal to join their team. Responsibilities:

  • SEDAR filings of continuous disclosure documents including: news releases, material change reports, annual and interim financial statements, MD&A and CEO and CFO certificates; technical reports; management proxy materials; annual information forms; documents affecting the rights of securityholders/material documents; SEDAR filings of securities offerings including short form prospectuses, shelf prospectuses and rights offerings; Prepare and submit SEDAR profiles and continued maintenance thereof;
  • SEDI filings for insiders and issuers. Prepare SEDI profiles and continued maintenance thereof;
  • Early warning requirements, including drafting of early warning news releases and reports; Dissemination of news release and filing news release and report on SEDAR and SEDI filings regarding reporting requirements;
  • Frequent direct contact with clients regarding required continuous disclosure documents for issuers and insiders and filing deadlines; Questions regarding securities laws and stock exchange information; Requests for drafting various documents and forms;
  • Draft ancillary documentation for annual and interim financial statement filings (ie. directors and audit committee resolutions, CEO and CFO certifications and OSC and ASC forms; Draft ancillary documentation for short form prospectus and shelf prospectus filings (ie. filing letters, qualification certificates, expert consents, submission to jurisdiction and appointment of agent for service et al; Draft ancillary private placement documentation (ie. directors’ resolutions, price reservation form, notice of private placement, treasury orders; reports of exempt distribution); Online filings with the British Columbia Securities Commission using eServices; Online filings with the OSC through its filing portal; Review subscription agreements and organize lists of purchasers;
  • Draft submission and filing letters to the TSXV; Calculate applicable filing fees;
  • Form checks of management information circulars; draft meeting timetables; advise transfer agents of annual and/or special meetings and correspond with transfer agent regarding meeting preparation; Follow up to ensure report of voting results is SEDAR filed, if required. Form check of annual information forms; Preparation of CEO and CFO Certifications if required; Prepare breakdown of SEDAR filing fees when required;
