Our client is a centrally-located MID-SIZE LAW FIRM and is one of the few full-service law firms in North Vancouver who provide a wide range of professional assistance with business law, real estate, estates, wills, and litigation. The firm is looking to hire a corporate paralegal with 3+ to 5+ years of experience preparing corporate documents and completing tasks, such as:
Main Responsibilities:
- Reviewing, analyzing, summarizing, updating and maintaining basic to complex minute books and corporate records including electronic records database (ALF);
- Incorporation organization documents including documentation related to transactional work such as amalgamations, extra-provincial registrations, re-organizations, acquisitions, continuances, Section 85 rollovers;
- Performs due diligence of minute books identifying deficiencies and material matters, prepares report recommending manner of rectifying deficiencies, and prepares any necessary documents required to comply with governing statutes and rectifying any deficiencies;
- Registers, renews, and cancels business names and partnerships, gathers information; prepares and files documents and reports accordingly;
- Prepares documents with and without firm precedents according to instructions and information provided by his/her/their Legal Professional as well as information gathered through own research;
- Researches, prepares and revises precedents and technical procedures checklist to ensure compliance with current legislation;
- Organizes small transactions and attends to closing with his/her/their Legal Professional to oversee execution of documents;
- Maintains confidentiality of the Firm, client and employee information;
- Performs other related duties as may be assigned from time to time.
Position Requirements:
- Paralegal Diploma/Certificate plus minimum 3 years’ experience as a Corporate Services Paralegal OR an equivalent combination of training, education, and experience;
Knowledge and Skills:
- Laws/legislation relevant to the practice area, (British Columbia Business Corporations Act, Canada Business Corporations Act, Canada Corporations Act, and other relevant business organization statutes, legal terminology, as well as forms and documents related to the corporate practice area
- Proficiency with computers including advanced MS Word, Excel, Internet, Corporate Records software and other relevant programs;
